Terms of Service

1. Who we are

BuildUp Addis Digital Technologies is a digital studio based in Addis Ababa, Ethiopia. We provide website development, software delivery, digital marketing, branding, production, hosting support, and related consulting services.

2. Definitions

“Client” means the person or organization that engages BuildUp Addis for services.

“Deliverables” means the work product described in a proposal, statement of work, invoice, or other written agreement.

“Order” means a written proposal, quotation, order form, invoice, or email confirmation accepted by both parties.

“Site” means buildupaddis.com and related pages we operate.

3. Website use

You may browse the Site for information about our services. You agree not to misuse the Site, attempt unauthorized access to systems or data, interfere with Site security or performance, scrape content in a way that harms the Site, or submit unlawful, harmful, or misleading content through forms or email.

Portfolio examples and case studies on the Site are for illustration. Features, timelines, and pricing for your project are confirmed only in an Order.

4. Services and Orders

Scope, timeline, fees, payment schedule, and Deliverables are defined in the applicable Order. If these Terms and an Order conflict, the Order controls for that engagement.

Work begins after kickoff conditions in the Order are met (for example, deposit payment, access credentials, content, or approvals). Client delays in providing required materials may extend timelines.

Change requests outside the agreed scope may require a revised Order and additional fees.

5. Fees, invoices, and receipts

Fees are as stated in the Order or invoice. Invoices are due by the due date shown. Receipts confirm payment received for the services listed on that receipt.

Unless otherwise agreed in writing, fees for a started work phase are non-refundable. Late payment may pause delivery until balances are cleared. You are responsible for applicable taxes except taxes based on our income.

Currency is as stated on the invoice or receipt (including USD when specified). Bank fees, transfer fees, and FX costs charged by your payment provider are your responsibility unless we agree otherwise in writing.

6. Client responsibilities

You will provide timely access, content, feedback, and decisions needed to deliver the work. You confirm you have rights to materials you supply (brand assets, copy, images, data, and credentials) and that our use of those materials for the project will not infringe third-party rights.

You remain responsible for your business decisions, regulatory compliance in your industry, and ongoing operation of systems after handover unless a separate maintenance Order says otherwise.

7. Intellectual property

Upon full payment for the relevant Deliverables, you receive the rights described in the Order to use those final Deliverables for your business. If the Order is silent, you receive a non-exclusive license to use the final Deliverables for their intended purpose.

BuildUp Addis retains all rights to pre-existing tools, libraries, frameworks, methods, and know-how, and may reuse non-confidential techniques and patterns in other work. Third-party software, fonts, plugins, stock media, and hosting remain subject to their own licenses.

Unless you opt out in writing, we may reference the project name and non-confidential visuals in our portfolio and marketing.

8. Confidentiality

Each party will protect the other party’s non-public business information and use it only to perform the engagement. Confidentiality does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.

9. Acceptable use of hosted or delivered systems

If we host, deploy, or maintain systems for you, you will not use them for unlawful activity, spam, malware, infringement, or abuse of infrastructure. We may suspend services that create security, legal, or operational risk, with notice when reasonably practicable.

10. Warranties and disclaimers

We will perform services with reasonable skill and care consistent with professional digital studio practice. Except as expressly stated in an Order, the Site and services are provided “as is” to the fullest extent permitted by law. We do not guarantee uninterrupted availability of third-party platforms, networks, or hosting providers.

11. Limitation of liability

To the maximum extent permitted by applicable law, BuildUp Addis is not liable for indirect, incidental, special, consequential, or lost profit damages. Our total aggregate liability arising out of an Order will not exceed the fees paid to us under that Order in the three (3) months before the claim.

12. Term and termination

Either party may terminate an Order for material breach if the breach is not cured within fifteen (15) days after written notice (or a shorter period stated in the Order for non-payment). Upon termination, you will pay for work performed and approved expenses through the effective date. Sections that by nature should survive (including fees owed, IP, confidentiality, and liability limits) survive termination.

13. Privacy

Our collection and use of personal information is described in our Privacy Policy.

14. Changes

We may update these Terms from time to time. The “Last updated” date above will change when we do. Continued use of the Site after updates constitutes acceptance of the revised Terms. For active Orders, the Terms in effect when the Order was accepted continue to apply unless both parties agree otherwise in writing.

15. Governing law

These Terms are governed by the laws of Ethiopia, without regard to conflict-of-law rules. Courts located in Addis Ababa shall have exclusive jurisdiction, unless an Order specifies otherwise.
